Got the business licence? Lovely. You have reached one milestone—not magically created a functioning company. The reliable route starts with the exact activity, checks foreign-investment and sector rules, designs ownership and capital, files the company, and then builds the bank, tax, accounting, payroll and immigration systems that let the thing actually operate.

Important, unglamorous sentence

This is an orientation, not legal, tax, investment or immigration advice. Your exact activity, ownership, capital, licences, beneficial-owner reporting, foreign exchange and tax treatment need confirmation from the relevant authority and qualified advisers. Please do that before ordering the celebratory office plant.

1. What will this company actually do?

Write it down plainly: who pays you, for what product or service, through which channel, in which market? Will the company import, export, store goods, handle data, publish content, hire staff or need a regulated licence? “Technology” or “consulting” may sound wonderfully sleek, but it is not a business model and may be too vague to reveal the approvals you really need.

China’s Foreign Investment Law uses pre-establishment national treatment plus a negative-list system. Outside the negative list, foreign investment is generally treated under the same access rules as domestic investment—but sector-specific licences and operating requirements do not vanish in a puff of startup enthusiasm. Check the current national negative list against your precise activity, then check any sector rules.

2. Decide who owns what—and who may press which button

For many founders, the vehicle is a foreign-invested limited liability company. “WFOE” remains common conversational shorthand, but shorthand is not a company structure. You still need to identify the actual company form, shareholders and governance under current company law.

Decide the shareholders, legal representative, directors or executive director, supervisor where applicable, finance responsibilities, profit and decision rights, and the person authorised to receive legal documents. Then ask the awkward questions while everyone is still friends: what happens if founders disagree, leave, die, cannot fund the business or want to sell? The articles of association should reflect the real deal, not merely an agent’s default file with your names dropped in.

Now make a capital plan that matches the business’s runway and current contribution rules. Registered capital is not a decorative number for the pitch deck. For a limited liability company formed under the current Company Law, shareholders generally must pay subscribed capital in full within five years of establishment; existing companies have transition rules, and sector-specific rules may differ. Confirm the timing, currency, banking and foreign-exchange mechanics with the registration authority, bank and accountant before committing.

3. Find an address that works beyond the brochure

The registration application requires business-domicile information. Is the address legally usable for your intended activity? Can the landlord or provider supply the required material? Verify both. A cheap “address package” stops feeling cheap when the bank, tax bureau or regulator cannot reconcile it with the company.

Location incentives can matter, but please do not choose a district from a headline. Confirm eligibility, duration, substance requirements and the authority issuing any benefit. Qianhai, for example, is a real business zone with specific policies; it is not a universal tax coupon for any company that borrows an address there. If only tax planning were that adorable.

4. Assemble the paperwork parade

Shenzhen’s current enterprise guide lists channels including online, service windows and courier filing. The required material can include the registration application, articles of association, shareholder qualification documents, identity documents for management, legal-document recipient information, domicile material and any pre-approval required for the activity. Yes, this is the moment when a tidy document folder becomes your most exciting colleague.

The official page distinguishes a statutory processing time of 20 working days from a one-working-day service commitment for the registration item. Neither number promises an end-to-end setup. Preparation, translation or authentication, sector approvals, address resolution, bank onboarding and post-licence setup all sit outside that narrow registration clock.

Your founder document room (future you says thanks)

  • Passport and current China immigration documents for each relevant person.
  • Shareholder qualification and ownership documents, with authentication or translation as required.
  • Business activity and proposed business scope, checked against access and licensing rules.
  • Articles of association and founder/shareholder agreement that match each other.
  • Registered-domicile evidence and the address provider’s supporting material.
  • Capital plan, source-of-funds records and banking path.
  • Names and identity documents for the legal representative and other officeholders.
  • A written post-licence responsibility list for seals, bank, tax, accounting, payroll and reporting.

5. Make the licensed company useful

Registration done? Good. Now come the company seals, bank account, tax and e-invoicing setup, accounting records, payment controls, employment contracts, payroll, social insurance where applicable, and recurring reporting. China’s registration reforms integrate some tax and social-insurance registration information into the unified business-licence process; they do not remove later tax filings, bookkeeping, payroll or compliance costs. The licence is a starting gun, not a nap.

Choose an accountant who understands foreign-invested enterprises and your transaction pattern—not merely the lowest monthly quote. Decide who may hold and use each seal, initiate a bank payment, approve it, issue an invoice, sign a contract and access tax systems. A two-person control is worth establishing while the company is small and everyone still knows where the passwords live.

6. Own the company? That still does not mean you may work there

Owning shares or serving as a company officer does not, by itself, authorise a foreign national to work in China. Legal employment generally requires the appropriate work permit and work-type residence status through an employer-led process. A business or visitor visa is not a substitute. Map the founder’s immigration route beside the company timeline, not as an “oh, right” task after it.

When should you call a professional? Earlier than your panic suggests

Use a lawyer for founder rights, regulated activities, material contracts, intellectual property or structures you do not understand. Use a qualified accountant or tax adviser before the first invoice, cross-border payment or hire—not after the records need rebuilding. Use a licensed or demonstrably competent registration agent for process support, but insist that decisions and original credentials remain under your control.

Ask every adviser what is included, which government fee or third-party cost is excluded, which claims rely on a current official rule, and who owns the working files if the relationship ends. A credible adviser will comfortably separate registration speed from end-to-end readiness. If every answer is “don’t worry,” worry just enough to ask again.
